General Terms and Conditions of Sale

These GTCS apply to all subscriptions taken out on usemishka.com.

1. Seller

2. Scope

These Terms of Sale apply to all paid subscriptions on usemishka.com. By subscribing, you accept these terms without reservation. These terms supplement our Terms of Service (/cgu). Mishka is a professional tool, offered for the purposes of a business activity: agencies, studios and independent professionals managing client work. By subscribing to a paid plan, you confirm that you are doing so for purposes falling within the scope of your business activity, and therefore act as a professional within the meaning of the introductory article of the French Consumer Code. These terms are not intended for consumers — meaning natural persons acting for purposes outside any business activity. Should such a subscription nevertheless occur, the mandatory provisions of consumer law would apply to it, whatever these terms provide.

3. Products and plans

Mishka offers the following SaaS subscriptions (prices excluding VAT, monthly / annual): • Free - €0: 1 user, 5 clients, 5 projects, 1 GB storage • Solo - €14 / €140: 1 user, 20 clients, unlimited projects, 15 GB • Studio - €39 / €390: 3 seats included, additional seat €13/month, up to 8 users, 40 clients, unlimited projects, 30 GB • Team - €89 / €890: 6 seats included, additional seat €14/month, up to 15 users, 75 clients, unlimited projects, 75 GB • Agency - €249 / €2,490: 15 seats included, additional seat €17/month, up to 30 users, unlimited clients, unlimited projects, 200 GB • Enterprise - custom quote (limits set by contract) On multi-user plans, additional seats may be added up to the maximum number of users of the plan and are billed on the same cycle as the main subscription. The full description of features and limits is available on /tarifs and constitutes the pre-contractual information. Where this summary differs from the prices displayed on /tarifs and at checkout, the prices displayed at the time of the order prevail.

4. Client portal

The client portal is an access area you open to your own clients, separate from your workspace. It is included in every paid plan, from Solo upwards, at no extra cost. Portal accesses are unlimited and are never billed: they consume no seat, whatever their number. The people you invite are never members of your organization and only see what you choose to expose, client by client. Customising the portal with the colours and logo of your agency is available from the Team plan upwards. Some modules and roles may be reserved for higher plans; details are on /tarifs and in the app. Where the file upload module is available and enabled, uploads made from the portal are subject to per-client limits (maximum file size, number of files and total volume) shown in the app. These volumes also count towards the storage quota of your organization. You remain responsible for the people you invite, for the data you expose to them and for revoking accesses that are no longer needed.

5. Usage quotas and limits

Each plan includes usage limits: number of users, number of clients, number of projects and storage volume. Your current usage is available in your billing area. When a limit is reached you are alerted (from 80% of the storage quota), then the creation of new resources of the category concerned is blocked. No existing content is deleted, degraded or made inaccessible because of an overage: read access to and export of existing content are never interrupted. A grace period of 14 days applies to the storage quota, allowing you to free up space or upgrade. We may implement or strengthen the technical enforcement of these limits. Where such a change is likely to restrict a use that was previously possible, it is notified by email to the owner of the organization with at least 30 days notice; you may cancel your subscription under section 10 before it takes effect. Limits applicable to Enterprise plans are set by contract.

6. Prices and VAT

Prices are displayed in euros excluding VAT. As a sole trader under the VAT exemption threshold (article 293 B of the French General Tax Code), VAT is not applied. Where the customer is a business established in another European Union member state and provides a valid intra-Community VAT number, the service is not subject to French VAT and the tax is reverse charged: the invoice bears the wording "Reverse charge - article 283-2 of the French General Tax Code". The customer is solely responsible for the accuracy and validity of the number provided. Custom pricing for Enterprise is agreed by quote and is not published. Price changes take effect at the next billing cycle with at least 30 days notice by email. A price change has no effect on an annual subscription in progress: the new price applies from renewal only.

7. Order and trial

Subscription is completed online. A 14-day free trial, without credit card, is available to new users. The trial applies to the plan chosen at sign-up among Solo, Studio and Team; where no plan is chosen, it applies to Solo. At the end of the trial, and failing any subscription, the account switches to the Free plan and its limits. Stripe Checkout may offer a 14-day trial for paid plans requiring a payment method. Order is confirmed upon payment of the first invoice. Confirmation email is sent to the account email.

8. Payment

Payments are processed securely by Stripe (Visa, Mastercard, American Express). Subscriptions renew automatically unless cancelled. Invoices are issued by Stripe. In case of payment failure, access may be restricted after Stripe retry period; you will receive an email notification.

9. Right of withdrawal

The statutory right of withdrawal of the French Consumer Code does not apply to subscriptions entered into for business purposes (see Article 2). In its place, we offer something more useful: a **14-day free trial, with no card required**, on the Solo, Studio and Team plans. You evaluate the product in full before any charge, rather than paying first and cancelling afterwards. Subscriptions started from within the app take effect immediately, since the service is available at once.

10. Cancellation and refunds

Cancel anytime via Organization → Billing → Manage subscription (Stripe portal). The process is entirely online, takes a few clicks, and requires no email or phone call. Cancellation takes effect at the end of the current billing period; you keep access until then. Subscriptions renew automatically for an identical term. The renewal date is always displayed in Organization → Billing. No refunds for the current period except in case of a technical error attributable to Mishka. Refund requests: mishka-team@usemishka.com within 7 days of charge.

11. Support and response times

Support is provided by email, at the address shown on the site. This channel is open to everyone, including free plans and people who have not signed up: what varies by plan is not access to support, but the response time we commit to. Committed first-response times, in business days: Free and Solo — no committed time (best effort) · Studio and Team — 2 business days · Agency — 1 business day · Enterprise — as per contract. These times cover a first response from a human being, not resolution, which depends on the nature of the request. They are paused while we are waiting for information we need from you. No service level agreement (SLA) is guaranteed outside Enterprise plans. Missing a response time does not entitle you to compensation or a price reduction; it may however be raised under the cancellation article.

12. Enterprise

Enterprise plans are sold by custom quote with specific terms (SLA, dedicated support, onboarding and training, usage limits, enhanced security). Enterprise contracts prevail over these standard terms where they differ.

13. Liability

Mishka undertakes to deliver a service that conforms to the description given on the pricing and features pages. Any discrepancy identified between what is sold and what is delivered is corrected, and any resulting overcharge is refunded. Mishka liability is limited to amounts paid in the 12 months preceding the claim. We are not liable for indirect damages or data loss resulting from your use, except where law prohibits limitation.

14. Personal data

Data is processed per our Privacy Policy (/confidentialite) and DPA (/dpa).

15. Disputes

French law applies. Before any legal action, the parties will seek an amicable solution: write to mishka-team@usemishka.com describing the dispute, and we undertake to reply within 15 business days. Exclusive jurisdiction: courts of Lyon.
