Terms of Service

These Terms of Service govern the use of the Mishka platform. Please read them carefully before using the service.

1. Purpose

These Terms of Service govern access to Mishka, published by Joris Ricard (trading as Agence JRi). Using Mishka implies full acceptance of these terms and our Privacy Policy (/confidentialite) and DPA (/dpa) where applicable.

2. Service description

Mishka is a SaaS platform for project management, editorial calendars and team coordination for agencies, creative studios and freelancers. Features include: clients, projects, missions, tasks, Kanban/list/calendar views, collaboration (comments, mentions), notifications, credentials vault, meeting notes, documents and exports, data import from third-party tools (CSV file, Trello, Asana, Notion) and AI assistance features. AI assistance features (summaries, syntheses, briefs, writing assistance) are available on certain plans, run only on a user’s explicit request, and are capped by a monthly quota per plan. The provider, the data transmitted and the safeguards are described in article 12 of our Privacy Policy (/confidentialite). AI-generated content is a decision and writing aid: it may contain inaccuracies and must be reviewed before any binding use. The service also includes a client portal: an organization may open to its own clients an access area separate from its workspace, choosing client by client the modules exposed (projects, deliverables, published documents, calendar, comments, approvals and change requests, requests, file uploads) and inviting the individuals of its choice. The client portal is available on all paid plans; some modules and roles may be reserved for certain plans (see /cgv and /tarifs).

3. Registration and account

Access requires creating an account. You agree to provide accurate information, keep credentials confidential and notify us of unauthorized use. Invited team members must accept these terms when creating their account. Google OAuth: by signing in with Google, you authorize us to receive your email, name and profile photo as provided by Google.

4. Organizations and roles

Mishka uses organizations (workspaces). Roles include owner, admin and member. The owner is responsible for the organization, billing and member management. Before deleting your account, you must transfer ownership of any organization with other members.

5. Portal users

A "Portal User" is a natural person outside the organization, invited by it by email, who is given a dedicated authentication account and limited access to the client portal. A Portal User is never a member of the organization: they have access neither to its workspace nor to any data that is not expressly exposed to them. Login is by single-use email link, without a password. Three portal roles exist, chosen by the organization: viewer (read-only access to the items exposed), validator (comments, approval of a submitted item or request for changes) and client_admin (validator rights plus the client-side administration features provided by the service, including file uploads where that module is enabled). These roles are separate from organization roles and grant no right within the organization. Because the account is created at the initiative of the organization, a Portal User accepts these terms and acknowledges the Privacy Policy at first login to the portal; the acceptance is recorded and timestamped. Without acceptance, portal access is not opened. By inviting a person, the organization warrants that it is entitled to invite them and to disclose their email address for that purpose, that it has a legal basis under GDPR, that it has informed them of the processing of their data (GDPR articles 13 and 14) and that the items exposed do not infringe third-party rights. The organization indemnifies the publisher against any third-party claim resulting from a breach of these warranties. The organization alone decides who it invites, which role it grants, which modules it exposes, and when to revoke an access that is no longer needed.

6. Acceptable use

You may not use Mishka for illegal purposes, to access others' data, disrupt the service, scrape or resell the platform, upload malicious content, or circumvent the technical limits and quotas of your plan.

7. Intellectual property

Mishka's platform, code, design and branding belong to the publisher. You retain ownership of content you create. You grant Mishka a limited license to host and process your content to provide the service. Content submitted or created by a Portal User (files, comments, requests, messages, approval decisions and change requests) is attached to the workspace of the organization and follows the fate of its content. Mishka claims no ownership of it. The organization warrants the lawfulness of such content and handles, towards the publisher, any third-party claim relating to it. For traceability of exchanges and approvals, a Portal User cannot delete the content they have submitted or published: deletion is handled by the organization, which has the corresponding features in its workspace. A request may also be sent to mishka-team@usemishka.com, which we may act on where the content is manifestly unlawful or where deletion is required by law. Where an organization customises the portal with its own brand elements, it warrants that it holds the necessary rights to them. AI-generated content: the publisher claims no ownership of content generated by the AI assistance features; to the extent rights can exist in such content, it is attached to the organization of the user who requested it and follows the regime of your content. No warranty of originality or exclusivity is given — similar content may be generated for other users. Under the AI provider’s commitments, your content transmitted for generation is not used to train its models.

8. Personal data

Account data is processed per our Privacy Policy. Business data you enter about your clients is processed under our DPA. You remain responsible for informing your own data subjects where required.

9. Subscriptions

Paid plans are governed by our Terms of Sale (/cgv). Subscriptions are billed per organization. Free and Solo are single-user plans. Studio, Team, Agency and Enterprise include a number of seats (3, 6 and 15 respectively for Studio, Team and Agency; by quote for Enterprise); additional seats may be added at the unit price set out in our Terms of Sale, up to the maximum number of users of the plan. Client portal accesses are not seats: they are neither counted against the number of users of the plan nor billed.

10. Availability

We target 99.9% availability but do not guarantee uninterrupted service. Maintenance and force majeure may cause interruptions.

11. Liability

Mishka is provided "as is". Our liability is limited to amounts paid in the last 12 months, except where law prohibits such limitation. AI-generated content (summaries, briefs, writing suggestions) is produced automatically and may contain inaccuracies, omissions or approximations, including about figures and deadlines. You agree to review and verify it before any binding use (client communication, management decision, publication). We warrant neither its accuracy nor its fitness for a particular purpose.

12. Termination

If you are a member of an organization, you may delete your account from Profile settings (14-day grace period). Organization owners must transfer ownership before deletion if other members exist. This option is not available to Portal Users: account deletion is technically closed to portal accounts. Their access is granted and revoked by the organization, from the relevant client record, with immediate effect. After revocation the authentication account remains, without any access, in order to preserve the traceability of past actions, and the content they submitted stays in the workspace of the organization. A Portal User may request the deletion of their account and exercise their rights by writing to mishka-team@usemishka.com. We may suspend accounts for ToS violations, non-payment or abuse.

13. Changes

We may update these terms. Substantial changes require renewed acceptance in-app. Continued use after notification constitutes acceptance.

14. Applicable law

These terms are governed by French law. Disputes fall under the exclusive jurisdiction of the courts of Lyon. The French version prevails.
